Zimbabwe Stock Exchange Holdings Limited

Zimbabwe Stock Exchange Holdings Limited (ZSEHL) is the holding company of the Zimbabwe Stock Exchange and the Victoria Falls Stock Exchange, established to consolidate the commercial interests of Zimbabwe’s capital-markets infrastructure.

Following shareholder approval in October 2024 for a scheme of reconstruction, shareholding in ZSE Limited and VFEX Limited was transferred into ZSE Holdings so that the two licensed exchanges could continue operating independently as wholly owned subsidiaries. SECZim approved the listing on 9 June 2025, and the entire issued share capital of 102,712,520 ordinary shares was listed by way of introduction on the ZSE Main Board on 10 July 2025, with trading commencing 11 July 2025 — the first self-listing by a Zimbabwean exchange.

In its first year as a listed entity the group launched the AI-enabled Data Direct portal, integrated into the SWIFT network and completed the transition to a T+2 settlement cycle, alongside plans for the Zimbabwe Entrepreneurship Exchange (ZEEX) for SMEs.

Corporate structure

The group comprises ZSE Limited, the primary local-currency bourse offering equities, ETFs, depository receipts, REITs and fixed-income securities with central clearing and settlement through its depository; and VFEX Limited, the US-dollar-denominated exchange in the Victoria Falls special economic zone.

The board is chaired by an independent non-executive director and comprises seven non-executive directors and one executive director, supported by Audit and Risk, Human Resources and Nomination, and Listings committees.
